Unless otherwise stated in a contract, this right is granted for the Client's internal business purposes.
No ownership right in the platform, software, technologies, or Monexpe's intellectual property is transferred to the Client or the user.

Detailed terms regarding personal information and the exercise of rights are set out in Monexpe's Privacy Policy.

As a result, applicable rules may notably depend on:
Monexpe complies with the obligations applicable to it given the processing concerned.
The Client remains responsible for the regulatory obligations specific to its organization, its industry, and the jurisdictions in which it operates.
Nothing in these Terms is intended to exclude a protection or obligation that cannot legally be excluded.
Providing the Services may require certain information to be processed by Monexpe or its suppliers in a jurisdiction different from the one in which it was originally collected.
Where personal information is subject to international processing or disclosure, Monexpe implements the measures required by the laws applicable to it.
Where necessary, privacy impact assessments, contractual mechanisms, or other appropriate measures may be used to govern such processing or transfers.
Additional information on international processing is set out in the Privacy Policy and, where applicable, in the DPA.
Monexpe may market its Services directly or through distributors, resellers, integrators, consultants, or other authorized business partners ("Authorized Partners").
Where a Client obtains the Services through an Authorized Partner, certain commercial terms, notably pricing, billing, payment, implementation, training, or first-level support, may be agreed directly with that Partner.
Unless otherwise stated in writing, an Authorized Partner is a business legally independent from Monexpe.
An Authorized Partner is not authorized to modify these Terms, provide an additional warranty on behalf of Monexpe, or create an obligation for Monexpe without express written authorization.
Regardless of the commercial channel used to acquire the Services, use of the Monexpe platform remains subject to Monexpe's applicable terms and policies.
Where an Authorized Partner provides its own consulting, implementation, configuration, integration, training, or support services, these services may constitute distinct services under its own responsibility, unless Monexpe commits otherwise.
Where an Authorized Partner accesses Client Data or personal information, such access must be governed in accordance with the respective roles of the Parties and applicable legal and contractual requirements.
Termination of the relationship between Monexpe and an Authorized Partner does not automatically result in the termination of rights validly granted to an end Client.
Subject to applicable agreements, Monexpe may take reasonable steps to ensure continuity of the Services, including directly or through another Authorized Partner.
Monexpe may use suppliers and subcontractors to provide certain components of the Services.
These may notably be involved in:

These measures notably take into account the nature, sensitivity, quantity, purposes, and context of the information concerned.
As no computer system or means of electronic transmission can guarantee absolute security, Monexpe does not guarantee that a security incident will never occur.
Clients and users must also take reasonable steps to protect their accounts, devices, and credentials.
Specific security commitments applicable to certain Services may be set out in the Security Statement, the DPA, or applicable contractual agreements.
Monexpe maintains processes to identify, analyze, and manage security or privacy incidents affecting information under its control.
Where an incident requires notification or other measures under applicable laws, Monexpe takes the steps required of it.
Where Monexpe processes information on behalf of a Client, the Parties' responsibilities regarding incidents may be set out in the DPA or applicable contract.

This provision does not grant Monexpe any ownership right in Client Data.
Monexpe Services may allow integrations with platforms, software, or services operated by third parties.
Where the Client decides to activate such an integration, use of the third-party service may be subject to that supplier's own terms and policies.

Specific commitments regarding availability, maintenance, support, or service levels are set out, where they exist, in the SLA or applicable contract.
Monexpe may offer features identified as beta, preview, pilot, experimental, or early access.
These features may be modified, restricted, or discontinued.
Unless expressly agreed otherwise, they may not benefit from the same availability, performance, or support commitments as generally available Services.
Monexpe may temporarily suspend or restrict all or part of an access where such a measure is reasonably necessary, notably:
Where reasonably possible and appropriate, Monexpe will seek to limit the suspension to the Services or accounts concerned.
Rules regarding suspension for non-payment or breach of a commercial contract are set out in applicable contractual documents.
Monexpe strives to keep the information presented on its site accurate and up to date.
However, the site may occasionally contain errors, omissions, or outdated information.
Unless otherwise stated, content available on the site is provided for informational purposes and does not constitute legal, medical, financial, or other professional advice.
Monexpe provides its Services with the care reasonably expected of a professional technology service provider.
Subject to warranties that cannot legally be excluded and commitments expressly made in an applicable contract, Monexpe does not warrant that the Services will be entirely free of errors or interruptions.
Monexpe does not warrant that an indicator, analysis, recommendation, or feature will produce a particular business, operational, or financial outcome.
To the fullest extent permitted by applicable law, Monexpe will not be liable for indirect, incidental, special, exemplary, or consequential damages arising from the use or inability to use the Services.
Liability caps and specific exclusions applicable to paid Services are determined in the SaaS Terms of Service, the MSA, the order form, or any other applicable commercial agreement.
Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited.
To the extent permitted by applicable law and subject to applicable contractual documents, the Client may be required to indemnify Monexpe against third-party claims arising directly from unlawful use of the Services, infringement of third-party rights, or a material breach of these Terms attributable to the Client.
Indemnification obligations applicable to paid professional Services may be set out or replaced by those provided in the applicable commercial contract.
The Monexpe site may contain links to sites or resources operated by third parties.
These links may be provided to facilitate access to certain information.
Unless stated otherwise, their presence does not mean that Monexpe approves or guarantees the products, services, content, or practices of the organization concerned.
Monexpe may amend these Terms notably to reflect:
The date of the last update is indicated at the beginning of the document.
Where required by applicable law or the significance of the amendment, Monexpe will take reasonable steps to inform affected users of a material amendment.
Subject to applicable mandatory provisions, these Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein.
Any dispute arising from or relating to these Terms will be submitted to the competent courts of the Province of Quebec, Canada, unless an applicable mandatory rule provides otherwise.
A contract specifically entered into with an international Client or Partner may provide for different provisions regarding governing law, jurisdiction, arbitration, or dispute resolution.
Where several documents govern the Services, the order of priority set out in the applicable contract or order form prevails.
In the absence of a specific provision, applicable documents must be interpreted in a complementary manner.
Where a conflict cannot be resolved in this way, the following order applies with respect to the subject matter concerned:
If a provision of these Terms is declared invalid, illegal, or unenforceable by a competent authority, the other provisions remain in effect to the fullest extent permitted by law.
Monexpe's failure to exercise, or delay in exercising, a right provided for in these Terms does not constitute a waiver of that right.
These Terms, together with the documents incorporated into or made applicable to the relevant Service, constitute the general terms governing use of the Services.
Monexpe may make these Terms available in several languages.
In the event of a discrepancy between different language versions, the version designated as authoritative in the applicable contract prevails, subject to mandatory requirements of applicable legislation.
